Notification of change in the composition of the Board of Directors.
“ATHENS MEDICAL COMMERCIAL SOCIETE ANONYME” (hereinafter the “Company”) informs the investing public, in accordance with par. 4.1.1. para. 22 of the Athens Stock Exchange Regulation, that the Board of Directors of the Company, at its meeting on January 2, 2026, following the resignation of Dr. Georgios Apostolopoulos from the position of Chairman and his expressed intention to transfer the daily management and strategic development of the Group to his two sons, Vasilis and Christos Apostolopoulos, who jointly assume the top management of the Group from the positions of Chairman and CEO respectively, the Board of Directors was formed as follows:

The term of office of the above expires on 26.06.2028, and the composition of the Committees of the Board of Directors remains unchanged.
Following its reconstitution, the Board of Directors awarded Dr. Georgios Apostolopoulos, the title of “Honorary President”. He himself, thanking the Board of Directors, stated: “Today the New Leadership, together with the team it will choose to have around it, is paving the way for the New Era of our Group, maintaining unchanged the values that defined the Group, respect for people, quality of services, safety, transparency, scientific excellence, unity in our mission. Today, not only is an administration changing, today the scale of the vision is changing”.
Dr. Georgios Apostolopoulos will perform the duties of a senior executive officer from January 2, 2026, supporting the other executive officers in the implementation of the Company’s strategic decisions and reporting to its Board of Directors.
The Company thanks Dr. Georgios Apostolopoulos for his continuous and substantial contribution, over forty years, to the achievement of business goals and the development of its social work, as well as overall for the contribution, transformation and development of the health sector in Greece, while simultaneously honoring it at an international level.
